Attorney (Full-Time W2 Contract) Location: Hybrid/Remote in
Charleston, SC Licensure: SC required (Candidates must live and be
actively licensed in the same state) Schedule: Full-Time,
Approximately 40 Hours per Week Compensation: $60-$80 per hour (W2
Contract) Employment Type: Long-term Temporary Contract with
Potential for Full-Time Conversion (not a partner-track role) (No

Solutions is seeking an experienced Asset & Corporate Finance
Attorney to support a broad range of sophisticated financial
transactions. This role focuses on structuring, negotiating, and
documenting asset-based and corporate finance deals,
securitizations, and complex lending arrangements. The ideal
candidate brings strong transactional experience, excellent
drafting skills, and a solid understanding of U.S. banking and
securities regulations. This position is well-suited for an
attorney with experience representing financial institutions,
borrowers, private equity sponsors, or corporate clients in
high-value finance matters. Primary Responsibilities: Structure,
draft, and negotiate secured lending arrangements, asset-backed
transactions, leveraged leases, and receivables financing,
including cross-border or specialized asset transactions. Advise on
corporate finance transactions such as venture capital and private
equity investments, roll-up strategies, equity offerings, bond
issuances, and private debt placements. Lead or support legal
aspects of M&A transactions, including acquisition financing,
joint ventures, and corporate restructurings. Ensure compliance
with U.S. banking and securities regulations, including SEC rules,
Dodd-Frank requirements, the U.S. and EU risk retention framework,
and Volcker Rule implications. Draft and review securitization and
structured finance documentation such as loan agreements, repos,
CLO documents, pooling and servicing agreements, purchase
agreements, bond indentures, and offering materials. Advise on
corporate governance, risk management, and compliance obligations
for public and private companies. Support distressed asset
transactions, bankruptcy-related matters, restructurings, creditor
rights issues, liability management transactions, and special
situations. Navigate multi-jurisdictional and cross-border legal
questions as part of international finance structures. Collaborate
with internal and external stakeholders across industries including
technology, energy, financial services, and other capital-intensive
sectors. Required Minimum Qualifications: Actively licensed
attorney residing in the same state as licensure (required). 4
years of broad-based U.S. law firm experience in asset-based
finance, securitization, structured finance, bankruptcy, creditors
rights, distressed M&A, restructuring transactions, and/or
related corporate finance work. Familiarity with venture capital,
private equity, portfolio company support, add-on acquisitions, and
debt/equity financing. Experience drafting and negotiating complex
finance agreements, securitization documents, syndicated credit
facilities, leveraged finance deals, and related transactional
materials. Strong working knowledge of U.S. banking and securities
laws, including Dodd-Frank, Volcker, and risk retention
regulations. Familiarity with cross-border finance structures and
multi-jurisdictional considerations. Prior experience in a
mid-to-large U.S. law firm or an Am Law-ranked firm preferred.
Ability to work a full-time schedule aligned to Eastern Time Zone
