Job Description:

SUMMARY/OBJECTIVES

The Counsel position reports to the Deputy General Counsel - Commercial Credit and Corporate Real Estate of a $46 billion financial institution with a multi-state footprint.

ESSENTIAL FUNCTIONS

---Support, provide legal guidance, and act as a legal specialist to the Loan Closing, Loan Operations, and Mortgage, departments and support units in the performance of their respective responsibilities with the Company, and such other lines of business as may be requested from time to time.Support to Loan Closing includes providing advice and counsel to internal Loan Closing team members in connection with loans that are documented in house.

---Draft, review, and negotiate transaction and other documents, including contracts, instruments, agreements, documents, policies, procedures, correspondence, form agreements, internal reports, and such other documentation needed from time to time.

---Assist management in analyzing corporate, legal and regulatory matters, including identifying risks and proposing alternative structures to mitigate risks involved in transactions and daily operations.

---Support other areas of the company as needed, including, without limitation, matters related to federal and state banking laws and regulations, regulatory change management, consumer protection laws, general contract law,regulatory compliance, internal policies and procedures, data privacy and information governance, commercial and transactional matters, deposit operations, and pending or threatened litigation.

---Act as internal legal contact on matters that are referred to outside counsel in your area of specialty and liaise between internal stakeholders and outside counsel.

---Manage and coordinate with outside counsel to develop transactional and litigation strategies and defenses, provide guidance and supervision, and ensure the best value for the Company.

---Align legal advice to management, lines of business, and Company officers and employees with the Company's core values and strategic direction of the corporate legal function.

---Identify training needs and act proactively to educate and train employees on legal matters and best practices.

---Partner with other functional areas to accomplish objectives.

---Establish and maintain effective working relationships at all levels of the organization.

---Exercise competency, courtesy, and concern for the development of the company at all times.

---Perform other related duties as requested.

Qualifications and Education Requirements

---Education and Experience:

  • At least 5 years of experience, with prior in-house, mid-size to large law firm, or financial institutions experience preferred.
  • J.D. from an accredited institution. ---

    License:

    Active and good standing, licensed member of at least one U.S. state bar.

    Knowledge:
    • Experience in effectively dealing with outside counsel for complex issues and strategic transactions.
    • Experience with commercial and consumer lending, Article 9 of the Uniform Commercial Code, real property and title-related matters.
    • Knowledge and experience regarding Florida documentary stamp tax and homestead laws.
    • Excellent legal, analytical problem solving and communication (oral and written) skills.
    • Ability to think strategically, plan and influence across the organization and across cultures.
    • Excellent facilitation, presentation, and negotiation skills.
    • Exceptional leadership skills coupled with the ability to manage relationships and advise executive management on legal and strategic initiatives.
    • Excellent drafting and organizational skills.
    • Ability to prioritize demands and multi-task in a fast paced, dynamic environment.
    • Excellent interpersonal and project management skills.
    • Ability to work independently as well as collaboratively within a team environment.
    • Ability to handle stressful situations and a heavy, diverse workload while providing a high level of customer service in a calm and professional manner.

      TRAINING REQUIREMENTS/CLASSES

      Required annual compliance training.

      This position has supervisory responsibilities.

      PHYSICAL DEMANDS/WORK ENVIRONMENT

      Must be able to stand and/or sit for long periods of time. Must be able to effectively access and interpret information on computer screens, documents, reports, and cash denominations, and identify customers.

      TRAVEL

      Travel within the Company's footprint may be required from time to time.
